Independent Contractor Agreement

Introduction

This Independent Contractor Agreement ("Agreement") is entered into between you (the "Contractor") and MCParis Dunamys Services LLC, operating as Neatyx (the "Company"). By applying to or using the Neatyx platform to receive cleaning job requests, you agree to the terms below. This Agreement establishes the relationship between you and Neatyx as that of an independent contractor, not an employee.

Independent Contractor Relationship

You acknowledge and agree that you are an independent contractor and NOT an employee of MCParis Dunamys Services LLC or Neatyx. As an independent contractor: - You are free to accept or decline any job offered through the platform. - You control the manner and method of performing cleaning services. - You are responsible for your own taxes, including self-employment tax. - You are not entitled to employee benefits such as health insurance, paid time off, or workers' compensation. - You may work for other companies or clients outside of the Neatyx platform.

Platform Role

Neatyx is a technology platform that connects customers with independent cleaning professionals. Neatyx does not control, direct, or supervise the manner in which you perform cleaning services. Neatyx provides the technology infrastructure to facilitate bookings, payments, and communication between you and customers. Neatyx does not guarantee a minimum number of jobs or a minimum amount of income.

Contractor Obligations

As an independent contractor using the Neatyx platform, you agree to: - Perform all accepted jobs professionally and to the best of your ability. - Arrive on time for scheduled appointments. - Communicate promptly with customers and Neatyx regarding any issues. - Maintain appropriate cleaning supplies and equipment as needed. - Follow all applicable health and safety regulations. - Treat all customer properties with care and respect. - Maintain confidentiality regarding customer information and property details. - Work as part of a 2-person team when assigned to services that require it (Deep Clean, Move-in/Move-out, Post-Construction, Airbnb Turnover, and Office Clean). - Accept or decline jobs within a reasonable timeframe to allow reassignment if necessary. - Upload completion photos of each cleaned area before marking a job as completed (see Completion Photos section below).

Completion Photos & Verification

As a condition for marking any job as completed, you are required to upload at least one photo documenting the cleaned areas. These photos serve as verification that the service was performed as expected. Completion photos are visible to the customer and to Neatyx administrators. They are used solely for service verification, quality assurance, and dispute resolution purposes. By uploading photos through the platform, you grant Neatyx a non-exclusive, royalty-free license to store and display these photos to relevant parties (customers, administrators) for service verification purposes. Neatyx will not sell or distribute these photos to any third party. Important: Do not include photos of personal belongings, people, or any content unrelated to the cleaning service. Photos should only depict the cleaned areas and rooms.

Background Check & Compliance

By using the Neatyx platform, you consent to a background check and verify that you are legally authorized to work in the United States. You agree to maintain all required documentation, including W-9 tax forms when applicable. Neatyx reserves the right to deactivate your account if background check results are unsatisfactory or if you fail to maintain compliance with applicable laws and regulations.

Payment Terms

Neatyx uses a flat-rate payout system. For each completed job, you will receive a fixed amount per service type: - Basic Clean / Airbnb Turnover: $40 per cleaner - Deep Clean / Move-in-out / Post-Construction / Office Clean: $60 per cleaner - Add-on bonus: +$5 per add-on selected by the customer For jobs requiring 2 cleaners, each cleaner receives the full payout amount (not split). You also receive 100% of any customer tips. Payouts are processed automatically via Stripe Connect upon job completion and customer payment confirmation. You are required to set up and maintain a Stripe Connect account to receive payouts. Neatyx retains the remaining balance as a platform fee. This fee covers platform maintenance, customer acquisition, payment processing, insurance, and administrative costs.

Termination

Either party may terminate this Agreement at any time, with or without cause. You may stop using the Neatyx platform at any time by notifying the Company. Neatyx may deactivate your account for reasons including but not limited to: repeated cancellations, poor customer ratings, safety concerns, policy violations, or failure to maintain required documentation. Upon termination, any pending payouts for completed jobs will still be processed.

Governing Law

This Agreement is governed by and construed in accordance with the laws of the State of Florida, United States. Any disputes arising from this Agreement shall be resolved in the courts of Orange County, Florida.
